Im not sure where this error is coming from. I'm using the VisualListener class, linked from the AS3 Questions.
Im calling assertTrue, and just using Async.proceedOnEvent.

Plz help. am willing to post code but someone prob can eyeball this and know the fix.

VerifyError: Error #1014: Class mx.rpc::IResponder could not be found.

So, this is one of the differences between the Flex and ActionScript versions of FlexUnit. First guess is that you actually have the FlexUnit swc built to work with Flex, but are using it with an ActionScript only project.

Do you know how to get an ActionScript only version of the library? If not, let me know and will be glad to help.
